Scope and Applicability

These Terms and Conditions ("Terms") govern all access to and use of the Lingocept® platform ("Platform") by individuals and entities ("Users"), including language learners ("Learners") and language professionals ("Instructors"). The Platform is operated by Lingocept® and accessible via web, mobile apps, and APIs.

Use of the Platform constitutes acceptance of these Terms.

Services Offered

Language Learning Platform

Lingocept® offers a mediated marketplace where Learners can book sessions and access educational content. Lingocept® facilitates account creation, scheduling, payment, and communication.

Proprietary Product

Lingocept® provides a proprietary learning product ("Product") including structured digital content and learning frameworks. Purchase grants a personal, non-transferable license.

Role Disclaimer: Lingocept® is not a party to the contracts between Learners and Instructors.

Eligibility and Registration

  • Users must be 18+, or 13+ with verifiable parental consent
  • Accurate personal and payment data must be submitted
  • Each User may register one account per role unless explicitly authorized

Account Security

Users are responsible for maintaining the confidentiality of login credentials. Unauthorized use must be reported immediately. Lingocept® reserves the right to suspend or terminate accounts in case of violations or fraud.

User Conduct

Strictly prohibited:
  • Sharing private contact information before trial completion
  • Circumventing payments or conducting off-platform sessions
  • Sharing or republishing Product content
  • Using bots or scrapers without prior written consent
  • Harassment, discrimination, or unlawful behavior
  • Violating Instructor or Learner Codes of Conduct

Instructor Obligations

Instructors must:

  • Hold relevant qualifications
  • Maintain truthful and updated profiles
  • Provide lessons professionally and ethically
  • Comply with the Tutor Code of Conduct

Code of Conduct Details

  • Professional appearance and conduct during all lessons
  • Stable internet connection on PC/laptop (no smartphones)
  • Quiet, well-lit teaching environment
  • Webcam must remain on during sessions
  • No off-platform engagement with Learners
  • Strict confidentiality of Learner data

  • Respectful treatment of Instructors and staff
  • Punctuality for scheduled sessions
  • Camera use when requested by Instructor
  • No recording or sharing of lesson content
  • No solicitation of unrelated services

Payment Terms

Learners

  • Subscription or pay-as-you-go credit models are prepaid
  • Credits are valid during the billing cycle; limited rollover allowed
  • Pricing is shown in EUR € (incl. VAT where applicable)

Instructors

  • Instructors earn 70–85% of lesson revenue
  • Commission rates may vary by volume/performance
  • Trial lessons may be unpaid or discounted

Scheduling & Cancellations

Learners:
  • Free cancellations/rescheduling up to 24h before lesson
  • Late cancellations incur full credit charge
Instructors:
  • 24h notice required for rescheduling
  • Repeated cancellations may lead to penalties

Refund Policy

  • Full refunds within 14 days if no credits used
  • Partial refunds at Lingocept®'s discretion after lesson use
  • EU withdrawal rights (Directive 2011/83/EU) apply

Intellectual Property

Ownership

All Platform materials (including text, audio, video, design elements, teaching frameworks, and learning methodologies) are the exclusive intellectual property of Lingocept®. This includes our proprietary method for improving English comprehension and speaking skills.

While designed to accelerate progress, results vary based on individual engagement. No outcome is guaranteed.

Strict Restrictions: Users may not reproduce, share, teach, commercialize, reverse-engineer, or adapt any part of the Product or methodology without express written consent.

Instructor Content

Instructors retain rights to materials they create but grant Lingocept® a worldwide, royalty-free license to use such materials for quality control, educational, and promotional purposes.

Penalties for Violations

Sanctions

  • Account termination
  • Access revoked without refund

Fixed Penalties

Violator Type Penalty Amount
Individual €5,000 per violation
Entity/Company €100,000 per violation

These penalties are contractual and do not limit claims for additional damages under German civil law.

Limitation of Liability

Lingocept® is not liable for:

  • Disputes between Users
  • Indirect damages or loss of earnings
  • Platform downtime or data loss

Liability is capped at the amount paid by the User in the prior 12 months.

Lingocept® complies with GDPR and other applicable privacy laws. See our Privacy Policy for details on data use, cookie handling, and user rights.

Governing Law and Jurisdiction

Legal Framework

These Terms are governed by the laws of Germany. Place of jurisdiction: Berlin. EU Users may use the Online Dispute Resolution (ODR) platform.

Amendments

Lingocept® may amend these Terms with notice via email or platform update. Continued use implies acceptance.
